End User License Agreement

1. Definitions

• "Software" means the CiteLogos citation checking application, including all updates, modifications, and related documentation.
• "Licensor" means CiteLogos LLC.
• "You" or "User" means the individual or entity that has downloaded or installed the Software.
• "Device" means a computer, whether physical or virtual, capable of running Microsoft Word.

2. Grant of License

Subject to the terms of this EULA, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use the Software on up to three (3) Devices that you own or control
• Use the Software for personal, educational, or professional purposes
• Make one (1) backup copy of the Software for archival purposes

3. License Restrictions

You may NOT:

• Copy, reproduce, or distribute the Software except as expressly permitted
• Modify, adapt, translate, or create derivative works based on the Software
• Reverse engineer, disassemble, decompile, or attempt to derive the source code
• Remove, alter, or obscure any proprietary notices, labels, or marks
• Rent, lease, lend, sell, or sublicense the Software to any third party
• Use the Software for any unlawful purpose or in violation of any applicable laws
• Transfer or assign your rights under this EULA without Licensor's prior written consent
• Use the Software to develop a competing product or service
• Circumvent, disable, or interfere with any security features or licensing mechanisms
• Share your account credentials or license with others

4. Intellectual Property Rights

The Software is protected by copyright laws and international treaties. Licensor and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks, service marks, or trade names of Licensor.

5. Free Access Period

The Software is provided free of charge until June 1, 2026 ("Free Access Period"). During this period, no payment is required. After the Free Access Period, continued use requires a valid paid subscription.

6. Subscription Terms

After the Free Access Period:

• A valid subscription is required to use the Software
• Subscriptions are offered on monthly ($8/month) or annual ($80/year) terms
• Subscriptions automatically renew unless cancelled
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• All subscriptions are non-refundable; you may cancel at any time to prevent future charges

7. Device Limit and License Verification

The Software may be installed on up to three (3) Devices per license. The Software may periodically verify your license status, which requires an internet connection. If verification fails or your subscription expires, some or all features may be disabled.

8. Updates and Support

Licensor may, at its discretion, provide updates, patches, or new versions of the Software. Such updates may be automatic or require user action. Licensor is not obligated to provide support, maintenance, updates, or modifications, except as may be included with a paid subscription.

9. Data Collection and Privacy

The Software does not collect, transmit, or store the content of your documents. Your academic work remains entirely on your Device. For information about other data we may collect, please refer to our Privacy Policy at citelogos.com/privacy.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

LICENSOR DOES NOT WARRANT THAT:

• The Software will meet your requirements
• The Software will be uninterrupted, timely, secure, or error-free
• The results obtained from the Software will be accurate or reliable
• Any errors in the Software will be corrected

THE SOFTWARE IS DESIGNED TO ASSIST IN IDENTIFYING POTENTIAL CITATION ERRORS BUT IS NOT INFALLIBLE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING ALL OUTPUT AND VERIFYING ACCURACY. LICENSOR IS NOT RESPONSIBLE FOR ANY ACADEMIC, PROFESSIONAL, OR OTHER CONSEQUENCES ARISING FROM RELIANCE ON THE SOFTWARE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or use
• Cost of procurement of substitute goods or services
• Academic penalties or professional consequences
• Damages arising from citation errors, whether detected or undetected

LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Licensor and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Software
• Your violation of this EULA
• Your violation of any rights of any other person or entity

13. Term and Termination

This EULA is effective until terminated. It will terminate automatically if you fail to comply with any term herein. Upon termination:

• All rights granted under this EULA immediately cease
• You must immediately stop using the Software
• You must delete all copies of the Software from your Devices
• Sections 4, 10, 11, 12, and 14 shall survive termination

14. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law principles. Any dispute arising under this EULA shall be resolved exclusively in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of this EULA is held to be unenforceable or invalid, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.

17. Amendments

Licensor reserves the right to modify this EULA at any time. Changes will be effective upon posting at citelogos.com. Your continued use of the Software after changes constitutes acceptance of the modified EULA.
